Newscorp and TW have a lapping shareholder base of about 70%. That means Murdoch is paying 7 out of 10 of his shareholders without giving up any Newscorp stock, which is a nice deal. The downside is are the getting full value.

We wouldn't recognize the final product. A lot of parts would have to be merged or sold.
